Board of Governors Bylaws
1. Mission Statement
The board of Governors will determine the policies, initiatives and ideas in
order to strengthen the Likud party in Israel and around the world. The board
will meet with senior party officials and professionals relevant to the activity
of the party in the desire to strengthen Likud’s values and ideology.
2. Annual Meeting
The Annual Meeting of the Board of Governors of World Likud shall be held
every June each year in Israel at a date and time to be determined by the Board.
The agenda of this meeting shall include election of officers.
3. Election of Officers
At the Annual Meeting, the Board shall elect the following officers to serve
a two-year term beginning the first day of June of that year through the first
day of June two years later and until after their respective successors have
been duly elected:
(a) Chairman
(b) Vice Chairman
(c) Secretary
4. Special Elections
Vacancies in any of the three offices may be filled by the Board through
elections held at any regular or special meeting of the Board provided that such
election is publicized in the notice. The person or persons elected shall serve
for the remaining portion of the unexpired term(s).
5. Duties of Chairman
The Chairman of the Board of Governors shall preside at the meetings of the
Board, shall appoint the members of all standing and special committees of the
Board, and shall discharge any other duties ordinarily required of a presiding
offer, unless it is otherwise ordered. No member may serve as Chairman for more
than two consecutive terms.
6. Board of Governors Members
The Board of Governors shall be comprised of all members who are involved in
the mission of World Likud. The Secretary shall maintain the roll of members and
shall be the arbiter of member status. The Steering committee led by the
Secretary will evaluate general applications and recommend to the board new
members for approval.
7. Numbers
The Board shall consist of no more than 120 members. The chairperson of World
Likud and chairperson of Likud Israel will have a permanent seat on the board of
Governors.
8. Nominations
Board of Governors members may be nominated but must be done so during the
first year in conjunction with World Likud secretariat. There after nominations
will be executed by the chairperson under presented rules and regulations.
9. Vote Of Members
Each Board member present at a meeting may cast one vote on any question or
proposition to be voted on. Votes may not be cast by proxy.
10. Votes By Other Means
The Board may vote by electronic means on actions that have been deemed
urgent by the Chair between regularly noticed meetings. No less than two-thirds
(2/3) of the members then in office must participate. Any vote conducted
electronically must be ratified at the next regular meeting of the Board.
11. Special Meetings
30% of Board members may call special meetings of the Board for any purpose.
Notice of the time and place of special meetings shall be given seventy-two (72)
hours prior to the time of the holding of the meeting. The Secretary or other
officer may telephone or electronically notify each Board member at least
seventy-two (72) hours prior to the time of holding said meeting
12. Powers
The Board shall have the authority to make rules and establish policies and
procedures for carrying out the provisions of these Bylaws.
13. Officer By-Laws
14. Election and Term The Board of Governors shall select from among
its members all officers and all committee members for the terms of two years,
or until other successors are elected. The Board of Governors must also confirm
the Chair , Vice Chair and Secretary.
15. Chairman The Chairman shall have general supervision, direction
and control of the business and affairs of the Board of Governors..
16. Vice Chair In the absence or disability of the Chair, the Vice
Chair shall perform all duties of the Chair, and in so acting shall have all the
powers of the Chair. The Vice Chair shall have such other powers and perform
such other duties as may be described from time to time by the Board of
Governors.
17. Secretary – The Secretary shall keep a full and complete record of
the proceedings of the Board of Governors and of the members of the Executive
Committee including attendance and terms of office. The Secretary will also
oversee the Steering committee which will evaluate general applications and
recommend to the board new Board members for approval.
18. Removal of Member for Cause The Secretary may recommend the
suspension or removal of any member for good cause based upon action inimical to
the fundamental interests or functioning of the Board. The Secretary shall
notify the member no less than seven (7) days prior to the meeting of the Board
at which the recommendation for suspension or removal will be considered. The
member shall be given the opportunity to respond to the charges and address the
Board on these issues before final action on the question is taken by the Board.
50% participation is required for such a process.
19. Amendments to Bylaws
These Bylaws may be amended at any regular or special meeting of the Board,
provided previous notice of the nature of any proposed amendment shall have been
given at least 21 days prior to voting.
20. Binding Version of Bylaws
The binding version of the bylaws is the signed version presented by the
Secretary.
